These Terms and Conditions ("Terms") govern all transactions between EJM Medical Supply ("the Company") and its clients ("the Client"). By placing an order, entering into a contract, or accepting delivery, the Client acknowledges and agrees to be bound by these Terms.

1. Scope of Supply
The Company is a direct importer and supplier of medical supplies, equipment, and healthcare essentials. All products are FDA Approved, DOH Compliant, and PhilGEPS Registered. Product specifications, warranties, and compliance certifications are as stated on the official Sales Invoice, quotation, or signed contract.

2. Orders and Acceptance
An order is considered formally accepted only upon written confirmation by the Company (via email or official order acknowledgment) and, where applicable, execution of a signed contract or Notice of Award (NOA).
The Company reserves the right to decline, modify, or cancel any order that does not meet its compliance, credit, or operational requirements.

3. Pricing
All prices are quoted in Philippine Pesos (PHP) unless otherwise stated in a formal agreement.
Prices are subject to change due to import cost fluctuations, exchange rate movements, or regulatory adjustments. Quoted prices are valid for thirty (30) calendar days from the date of quotation unless otherwise specified.

4. Government Procurement
For transactions under the PhilGEPS framework, all terms are subject to the conditions set forth in the applicable Notice of Award, signed contract, and prevailing government procurement regulations (RA 9184 and its Implementing Rules and Regulations, as amended).

5. Intellectual Property
All product documentation, images, and proprietary materials provided by the Company remain the intellectual property of the Company or its respective manufacturers. Clients may use such materials solely for internal procurement, compliance, or operational purposes.

6. Limitation of Liability
The Company's total liability for any claim arising from a transaction shall not exceed the total value of the specific order in question. The Company shall not be liable for indirect, incidental, or consequential damages, including loss of revenue, loss of data, or business interruption.

7. Force Majeure
The Company shall not be held liable for delays or failures in performance caused by events beyond its reasonable control, including but not limited to natural disasters, pandemics, government-imposed restrictions, port closures, maritime disruptions, or acts of war.

8. Governing Law and Dispute Resolution
These Terms are governed by the laws of the Republic of the Philippines. Any dispute arising hereunder shall first be resolved through good-faith negotiation. If unresolved within thirty (30) days, the matter shall be submitted to the competent courts of Manila, Philippines.

9. Entire Agreement
These Terms, together with any signed contract, quotation, or Notice of Award, constitute the entire agreement between the parties. No modification shall be valid unless made in writing and signed by both parties.
